Dear Members of the SRC,
RE: EXTRAORDINARY GENERAL MEETING HELD ON 24 MARCH 2024 (“EOGM”) BY THE SINGAPORE RECREATION CLUB (“SRC”)
1. As you are aware, we had our EOGM on 24 March 2024 where we had put up the transformation plan of SRC (“Transformation Plan”) for our members’ consideration.
2. However, this was not the first time that the Transformation Plan was revealed to our members. The Transformation Plan was first revealed to our members on 2 February 2024 in a 117-page presentation slide deck which is currently still available on our SRC website. A town hall was also subsequently held on 25 February 2024 which introduced our members to the transformation task force and the transformation tender committee behind the Transformation Plan.
3. During the town hall, the rationale for the Transformation Plan was also presented and explained to our members, amongst other things. Our members were also apprised of the EOGM (including the voting timelines) that was to take place on 24 March 2024 during the presentation. Further, our members also had the chance to ask questions and have those questions answered by the transformation task force and the transformation tender committee during the Q&A session.
4. It was against this backdrop that the EOGM was called by the Committee pursuant to Rule 35(c) of the Constitution. The Committee also rightly exercised its powers under Rule 37 of the Constitution to raise funds for the purposes of the Transformation Plan.
5. It has to be noted that the voting procedure (including without limitation, when the voting booth shall close) can be specified by the Committee pursuant to Rule 35(d)(iv)(b) of the Constitution and by having such voting procedure issued together with the notice for the EOGM pursuant to Rule 35(d)(iii) of the Constitution. A decision was made to open the voting booth over 3 days so as to allow our members time to think and consider carefully before casting their votes. This was an important decision for the SRC after all and every single vote counts.
